Pennsylvania Businesses and Non-Profits Must File Annual Reports

If you own a business in PA, you may have started the new year with a postcard indicating you need to file an annual report. This is not spam.

With the signing of Act 122 in 2022, Pennsylvania's Department of State now requires businesses, LLCs, partnerships, corporations, and non-profits to file annual reports.

What is required in the annual report? It requests:

  • Business name
  • Jurisdiction of formation
  • Registered office address
  • Name of at least one governor (director, general partner, LLC manager or LLC member with material management responsibility, etc. depending on type of association)
  • Names and titles of the principal officers, if any
  • Address of the principal office
  • Entity number issued by the Pennsylvania Department of State

No financial information is required in the annual report. Also, note that if your business is registered on the Department of State website, the entity number will already be part of the online application; however, it is best practice to ensure it is correct.

While the cost is $7 per entity to file the report, which can be easily completed online, there is no cost for non-profit entities. The Department lists the following as filing requirements:

Association Type Filing dates

Corporations (business and nonprofit)/domestic and foreign

January 1 – June 30

Limited liability companies/domestic and foreign

January 1 – September 30

Limited partnerships, limited liability partnerships, business trusts, professional associations/domestic and foreign

January 1 – December 31

The purpose of the annual report, in addition to fulfilling the mandate of Act 122, is to keep public records updated. 

Beginning in 2027, associations that don't complete the annual report may face dissolution, cancellation, termination, or loss of protection of their registered name within PA six months after its required filing date.

An annual report form is not available on the Commonwealth's website; the website strongly encourages all businesses to file online using the help guide. Those who wish to submit a paper annual report can provide the bulleted information above, on an 8.5" x 11" white paper typed or printed in blue or blank ink, written legibly. All entities require a PA address; post office box addresses alone are not acceptable.
